These terms govern access to Implaced, including the desktop app, local runtime, Personas, agent tools, provider connections, support flows, updates, documentation, and bundled components.

Agreement

By downloading, installing, accessing, or using Implaced, you agree to these Terms of Service. If you do not agree, do not install, access, or use the software.

License

Limited license to use Implaced

Subject to your compliance with these terms, Implaced AI grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use Implaced for lawful software development, automation, productivity, research, and related professional purposes.

Ownership

Licensed software, user-owned work

Implaced AI and its licensors retain ownership, intellectual property rights, and other rights in the software, product design, branding, workflows, Personas, tools, documentation, and related materials. You retain ownership of your own source code, projects, prompts, configurations, and materials.

Responsibility

You are responsible for agent actions

Implaced may include or connect to AI systems, automated agents, local tools, model providers, repositories, terminals, browsers, and external services. You are responsible for supervising agent activity and reviewing, testing, validating, and approving code, commands, file operations, deployments, database actions, and other outputs before relying on them.

Outputs may be inaccurate, incomplete, unsafe, insecure, outdated, or unsuitable for your intended use. Automated agents may misunderstand instructions, produce incorrect code, modify files, execute unintended operations, or interact with connected systems unexpectedly.

Local-first

Local workspace and connected services

Implaced is designed as a local-first application. Workspace files, project data, credentials, vault secrets, local agent outputs, and local configuration are intended to remain on your machine unless you choose to connect Implaced to third-party services, cloud providers, AI model providers, repositories, databases, deployment platforms, or other integrations.

You are responsible for obtaining and maintaining any required accounts, API keys, tokens, credentials, subscriptions, permissions, and licenses for third-party services. Implaced AI does not control third-party services and is not responsible for their availability, performance, pricing, security, data handling, policy changes, outages, or outputs.

Security

Credentials, devices, and connected accounts

You are responsible for securing your device, operating system, projects, credentials, API keys, tokens, environment variables, secrets, SSH keys, databases, repositories, and connected accounts. Do not provide credentials, secrets, or permissions unless necessary for your intended use.

Restrictions

You may not use Implaced to violate laws, third-party rights, platform policies, or contracts; develop or deploy malware, phishing, credential theft, unauthorized access, surveillance abuse, spam, or exploitation; bypass security controls; interfere with systems you do not own or have permission to manage; or use the software in high-risk environments where failure could cause death, injury, physical harm, environmental damage, or major property damage.

Preview release

Preview and experimental features

Implaced may include beta, preview, experimental, or early-access features. These features may be unstable, incomplete, inaccurate, insecure, or subject to change or removal. You use preview features at your own risk.

Feedback

If you provide suggestions, ideas, bug reports, feature requests, comments, or other feedback, you grant Implaced AI a perpetual, worldwide, irrevocable, royalty-free license to use, modify, incorporate, and commercialize that feedback without restriction or compensation.

Updates

Implaced AI may provide updates, patches, new features, compatibility fixes, security improvements, or changes to the software. Updates may modify or remove features, change behavior, update dependencies, or require additional terms.

Disclaimer

Software provided as-is

To the maximum extent permitted by law, Implaced is provided “as is” and “as available,” with all faults and without warranties of any kind. Implaced AI does not warrant that the software will be uninterrupted, secure, error-free, accurate, compatible with all systems, or suitable for every workflow.

Liability

To the maximum extent permitted by law, Implaced AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, service interruptions, system failures, security incidents, or damages arising from generated code, automated actions, third-party services, or connected accounts.

Termination

Your license may terminate automatically if you violate these terms. Upon termination, you must stop using Implaced and uninstall or delete copies in your possession or control. Provisions that are intended to survive termination will continue to apply.

Open source

Implaced may include open-source and third-party components. Those components may be subject to separate license terms, and nothing in these terms limits your rights under applicable open-source licenses.
